Jio Platforms, the digital services division of Mukesh Ambani-led Reliance Industries, has received approval from the Securities and Exchange Board of India (SEBI) to launch what is poised to be the largest initial public offering (IPO) in India’s history.
The market regulator issued its final observations on August 28, clearing the path for the company to proceed with the highly anticipated public issue.
Key Details of the IPO
Issue Size: The offering is expected to raise between $3.8 billion and $4 billion (approximately ₹37,700 crore).
Fresh Equity: According to the draft red herring prospectus (DRHP) filed in June, Jio Platforms will offer up to 27 crore fresh equity shares.
Stake Dilution: The fresh shares will account for roughly 2.9% of the company’s total equity base post-issue.
Offer Structure: The IPO is structured entirely as a primary share sale, meaning all raised capital will be retained by the company rather than existing shareholders offloading their stakes.
Debt Reduction Strategy
The primary objective of this massive capital raise is to strengthen the company’s balance sheet. Jio Platforms plans to allocate approximately $3.3 billion (₹27,500 crore) of the IPO proceeds to repay debt accumulated by its core telecom unit, Reliance Jio Infocomm.
Market Position
The public listing comes as Reliance Jio continues to dominate the Indian telecom sector. The company closed out March with 524.4 million subscribers, securing its status as the world’s largest mobile operator by single-country subscriber base outside of China. The successful execution of this offering would comfortably surpass previous listing records, establishing a new high-water mark for India’s thriving primary market.
